About These Terms

Electronic Transactions Act, 2008 (Act 772)

These terms govern your use of the Ananse WebWorks website and, unless a signed statement of work says otherwise, the digital services we provide. By browsing this site, submitting an enquiry, or engaging us for a project, you agree to be bound by them.

Ananse WebWorks operates from Airport City, Accra, Ghana. In these terms, 'we', 'us', and 'our' mean Ananse WebWorks, and 'you' or 'client' mean the person or organisation using our services.

Contracts formed electronically — including accepted proposals, emailed confirmations, and electronic signatures — are valid and enforceable in Ghana under Act 772. Where a signed proposal or statement of work conflicts with these terms, the signed document prevails for that engagement.

If you do not agree with these terms, please do not use the site or engage our services.

02

Our Services

We provide web design, custom software and SaaS development, mobile applications, search engine optimisation, cloud hosting, and ongoing support.

  • Every engagement is scoped in a written proposal or statement of work setting out deliverables, timelines, fees, and assumptions.
  • Work that falls outside that scope is handled as a change request, priced and approved in writing before it begins.
  • We deliver with reasonable skill and care expected of a professional studio, but we do not guarantee commercial outcomes such as search rankings, traffic volumes, or sales.
  • We may involve trusted specialist contractors in a project, and we remain accountable to you for the quality of their work.
  • We may update, suspend, or retire parts of this site or a service where necessary for security, maintenance, or legal compliance.
03

Your Responsibilities as a Client

Good projects depend on timely input. As a client you agree to:

  • Provide accurate briefs, content, images, access credentials, and approvals in good time so agreed dates can be met.
  • Ensure you hold the rights or permissions for everything you send us, including images, fonts, trademarks, and third-party data.
  • Nominate one decision-maker who can approve milestones on your side, and keep that nomination current.
  • Keep credentials for your own systems secure, and tell us promptly when access needs to change.
  • Use our services lawfully, and not to publish content that infringes rights, is defamatory, fraudulent, or otherwise unlawful in Ghana.

Where late content or feedback delays a project, agreed dates move accordingly and reserved capacity may be reallocated. We will confirm any effect on fees with you in writing before it is applied.

04

Fees, Taxes and Invoicing

Ghana Revenue Authority requirements

Fees are set out in your proposal or statement of work. Unless stated otherwise, they are quoted in Ghanaian Cedi (GHS) and exclude statutory taxes.

Invoices are payable in the currency and within the period shown on the invoice. Where withholding tax applies to your payment, please issue the corresponding tax certificate; the gross invoiced amount remains due to us.

We may pause project work or suspend hosting where an undisputed invoice remains unpaid after a written reminder, without affecting our right to recover the outstanding amount.

  • Professional feesFixed project fee or monthly retainer, as quoted in your proposal
  • Third-party costsDomains, hosting, licences, and paid assets, billed at cost or as quoted
  • Statutory taxesVAT and applicable levies charged where required by the Ghana Revenue Authority
  • Late paymentInterest at the rate stated in the invoice or statement of work

Bank and international transfer charges are borne by the client, and all amounts paid are non-refundable once work for that milestone has begun, except where we have failed to deliver it.

05

Intellectual Property

Copyright Act, 2005 (Act 690)

All content on this website — text, graphics, layout, source code, and marks — belongs to Ananse WebWorks or is used under licence, and is protected by Act 690 and applicable international rules. You may not copy, adapt, or republish it without our written permission.

For client projects, copyright in the final deliverables transfers to you once the agreed fees for those deliverables have been paid in full, unless your statement of work says otherwise. Until then we retain ownership and grant no licence beyond reviewing the work in progress.

  • We retain ownership of our pre-existing tools, frameworks, components, and internal libraries, and grant you a perpetual, non-exclusive licence to use them as embedded in your deliverables.
  • Third-party components, fonts, and plugins remain under their own licences; where the proposal allocates those licence fees to you, they are payable in addition to our fees.
  • We may feature the completed work in our portfolio and case studies unless you ask us in writing not to.
  • Concepts, drafts, and routes you did not select remain our property and may not be used or adapted without permission.
06

Hosting, Domains and Backups

Where we host your site or application, the following applies:

  • Hosting runs on infrastructure we operate or procure, and is subject to scheduled maintenance windows.
  • We aim for high availability but cannot guarantee uninterrupted service; outages at third-party networks and force majeure events are outside our reasonable control.
  • Domains are registered through accredited registrars in the name you specify. Renewal is your responsibility unless we have agreed in writing to manage it.
  • Backups are taken regularly. Restoring data lost through client error, a compromised client account, or misuse may attract an additional fee.
  • We may suspend an account that threatens the security or stability of shared infrastructure, or that hosts unlawful content, giving notice where it is practical to do so.
07

Third-Party Services and Links

Our services rely on third-party providers — payment gateways, email delivery, analytics, and cloud infrastructure — and this site links to external platforms such as social media and scheduling tools.

Those providers operate under their own terms and privacy notices. We are not responsible for their content, availability, or practices, although we will help resolve issues that arise in services we selected and manage on your behalf.

08

Confidentiality

Each of us may receive information the other treats as confidential. We agree to use it only for the engagement, protect it with reasonable care, and disclose it only to team members, contractors, and professional advisers who need it to do their work.

These obligations do not apply to information that is public, already lawfully known to the recipient, independently developed, or required to be disclosed by law, a regulator, or a court order.

Confidentiality obligations continue for three years after an engagement ends, and indefinitely in respect of trade secrets.

09

Data Protection

Data Protection Act, 2012 (Act 843)

We process personal data in line with Act 843. Our Privacy Policy explains what we collect, why we collect it, how long we keep it, and the rights you hold over it.

Where you share personal data with us so that we can deliver a project — for example customer records loaded into a system we build — you remain the data controller and we act as your processor on your documented instructions. We will sign a data processing agreement on request.

We apply appropriate technical and organisational safeguards to data entrusted to us, and we notify the Data Protection Commission where a breach is likely to result in a risk to individuals.

Please report a suspected data breach or unauthorised access to us immediately, so we can contain it and meet our notification duties in time.

10

Liability and Indemnity

To the fullest extent permitted by Ghanaian law, we are not liable for indirect or consequential loss, including loss of profit, revenue, anticipated savings, goodwill, or data, however it arises.

Our total liability arising from an engagement is limited to the fees you paid us for that engagement in the twelve months before the claim arose.

You agree to indemnify us against claims, losses, and costs arising from content or materials you supplied, or from your use of a deliverable in breach of these terms or applicable law.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.

11

Termination and Suspension

  • Either party may end an engagement for convenience by giving 30 days written notice. Work completed and costs committed up to that date remain payable.
  • Either party may end an engagement immediately if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.
  • On termination we will hand over the deliverables paid for, and return or delete confidential material on written request.
  • Clauses on intellectual property, confidentiality, fees already due, liability, and dispute resolution survive termination.
  • Monthly hosting and support arrangements renew until cancelled with 30 days notice before the next billing period.
12

Governing Law and Dispute Resolution

Alternative Dispute Resolution Act, 2010 (Act 798)

These terms and every engagement with us are governed by the laws of the Republic of Ghana.

If a dispute arises, we will first try to resolve it through good-faith discussion between senior representatives within 30 days of written notice.

If discussion fails, either party may refer the matter to mediation in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798). If mediation does not resolve it, the courts of Ghana have exclusive jurisdiction.

Nothing in this clause prevents either party from applying to a court for urgent relief to protect confidential information or intellectual property.

13

Changes to These Terms

We may update these terms as our services or the law change. The version date at the top of this page shows the current version.

Material changes are notified to active clients in writing before they take effect. Terms recorded in a signed statement of work continue to apply to that engagement.

14

Notices and Communication

Act 772 — electronic communication

Notices under these terms may be given by email to the address recorded for you, and are treated as received on the next working day after sending, provided no delivery failure notice is received.

Formal notices to us should be sent to the contact address below and marked for the attention of the managing director.
